Mezusphere Terms of Service

These Terms of Service (the “Terms”) are an agreement between the customer identified in the account registration (“Customer”, “you”) and Mezusphere, Inc., Tokyo, Japan (“Mezusphere”, “we”, “us”). They govern (a) use of the public Mezusphere website and documentation (the “Website”) and (b) access to and use of the Mezusphere cloud service, including the management console and the Mezusphere edge (the “Service”).

Mezusphere is a business-to-business service. By creating an account you represent that you are acting for a company or other organization, and that you have authority to bind that organization to these Terms.

The Warpgate Software License Terms are incorporated into these Terms by reference and govern the Warpgate software you deploy in your own environment. The Privacy Policy describes how we handle personal data for which we determine the purpose of processing.

1. Definitions

  • “Customer Content” means content, applications, traffic, and data that you or your Authorized Users transmit through or store in the Service.
  • “Customer End-User Data” means data relating to the end users of your applications that the Service processes on your behalf, including authentication events and directory records you configure.
  • “Account Data” means registration, billing, and administrative contact data about you and your Authorized Users.
  • “Authorized User” means an individual you authorize to use the Service under your account, such as an employee or contractor.
  • “Warpgate Software” has the meaning given in the Warpgate Software License Terms.
  • “Order” means a pilot agreement, order form, or plan selection that references these Terms.

2. The Service

Subject to these Terms and any applicable Order, Mezusphere grants you a limited, non-exclusive, non-transferable right during the subscription term to access and use the Service for your internal business purposes, including making your applications reachable by their intended end users through the Service.

The Service is currently offered in a pilot phase ahead of general availability. Features marked as beta, preview, pilot, or experimental are provided as-is, may change or be withdrawn at any time, and are excluded from any availability commitments.

3. Accounts

You are responsible for the accuracy of your Account Data, for the actions of your Authorized Users, and for maintaining the confidentiality of credentials, API keys, and Warpgate service credentials issued under your account. You must promptly rotate or revoke any credential you believe is compromised and notify us of any suspected unauthorized access to your account. We recommend that all Authorized Users enable multi-factor authentication.

4. Customer Content and Customer End-User Data

As between the parties, you retain all rights in Customer Content and Customer End-User Data. You grant Mezusphere a limited license to process Customer Content and Customer End-User Data only as necessary to provide, secure, support, troubleshoot, and improve the Service, and as otherwise instructed by you through your configuration of the Service.

Mezusphere processes Customer Content and Customer End-User Data as a processor or service provider on your behalf. A Data Processing Addendum is available for pilot and enterprise customers on request and will be incorporated into the standard self-serve flow before general availability.

Mezusphere does not use Customer Content or Customer End-User Data to train machine learning or generative AI models unless you have expressly agreed in writing or enabled a clearly identified opt-in feature.

We do not persist the bodies of requests and responses passing through the Service unless you explicitly configure such logging, you provide the data to us for support, or temporary capture is necessary for a security investigation permitted by our agreement with you or required by law.

5. Your responsibilities

You are responsible for:

  • your applications and Customer Content, and their compliance with applicable law;
  • your relationship with your end users, including any legally required notices, terms, and consents presented to them;
  • the configuration of the Service, including routing rules, access policies, identity-provider settings, and DNS;
  • the security of your own environments, origins, and workloads, including the environments in which Warpgate Software runs;
  • safeguarding credentials, API keys, tokens, and secrets issued to you or generated by you; and
  • ensuring your use of the Service and your end users’ use of your applications complies with these Terms.

6. Acceptable use

You must not, and must not permit any third party to:

  • use the Service or Warpgate Software to distribute malware, operate botnets or command-and-control infrastructure, conduct phishing, credential theft, credential stuffing, or denial-of-service attacks, or send spam;
  • use the Service for traffic or content that is unlawful in the jurisdictions from which it is served or received;
  • attempt to access other customers’ tenants, data, or traffic, or probe, scan, or test the vulnerability of the Service without our prior written permission;
  • bypass or attempt to bypass usage limits, metering, isolation, or security controls of the Service;
  • resell the Service or operate it as a service bureau for third parties, except as expressly permitted in an Order;
  • use the Service in violation of export control or sanctions laws; or
  • use the Service for high-risk activities where failure could lead to death, personal injury, or severe environmental damage, unless expressly agreed in writing.

We may suspend affected resources or accounts where reasonably necessary to address a security risk, harm to the Service or to other customers, a legal requirement, or a material breach of this section. Where practicable we will notify you before or promptly after suspension and will limit the suspension to what is reasonably necessary.

7. Fees

Fees, plans, and usage allowances are set out in the applicable Order. During the pilot phase, pricing is as agreed in the pilot arrangement. Unless otherwise stated, fees are exclusive of taxes, and you are responsible for applicable taxes other than taxes on our income.

8. Confidentiality

Each party will protect the other party’s non-public information received in connection with the Service with at least reasonable care, use it only as needed to perform under these Terms, and not disclose it to third parties except to personnel and contractors under confidentiality obligations, or where disclosure is required by law.

9. Intellectual property; feedback

Mezusphere and its licensors retain all rights in the Service, the Warpgate Software, and related documentation. No rights are granted except as expressly stated in these Terms. If you provide feedback or suggestions, we may use them without restriction or obligation, provided we do not disclose your confidential information.

10. Third-party services

The Service may interoperate with third-party services you choose to connect, such as identity providers. Those services are governed by their own terms, and Mezusphere is not responsible for them.

11. Export controls and sanctions

You must comply with applicable export control and economic sanctions laws, including those of Japan, and you represent that you are not located in, or acting on behalf of a party in, a jurisdiction or on a list that would prohibit us from providing the Service to you.

12. Disclaimers

Except as expressly stated in these Terms or an Order, the Website, the Service, and the Warpgate Software are provided “as is” and “as available”, and Mezusphere disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Mezusphere does not warrant that the Service will be uninterrupted or error-free, that it will secure your applications or environments against all attacks, or that your use of the Service will satisfy legal obligations that apply to your business.

13. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data; and (b) each party’s total aggregate liability arising out of or relating to these Terms is limited to the amounts you paid to Mezusphere for the Service in the twelve months preceding the event giving rise to liability, or JPY 100,000 if no fees were payable. These limitations do not apply to a party’s willful misconduct or gross negligence, to your payment obligations, or to your breach of Section 6.

14. Term, termination, and data export

These Terms apply from account creation until your account is closed. Either party may terminate for material breach not cured within 30 days of notice. You may close your account at any time through the console or by contacting us.

Upon termination or expiry: your rights to the Service and the Warpgate Software end; you must stop using and delete Warpgate Software copies; and, for a period of 30 days after termination, we will make Customer Content and Customer End-User Data that is stored in the Service available for export in a reasonable format on request, after which we will delete it from active systems, except where retention is required by law or for backup cycles with defined expiry.

15. Changes to these Terms

We may update these Terms. For material changes we will give account administrators advance notice, and where a change is materially adverse to you, or expands how we may use Customer Content or Customer End-User Data, we will ask for renewed acceptance. Earlier versions remain available on request. Continued use after the effective date of a non-material update constitutes acceptance.

16. Governing law and venue

These Terms are governed by the laws of Japan, without regard to conflict-of-laws rules. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes arising out of or relating to these Terms, except where an Order states otherwise.

17. Language

These Terms are provided in English and Japanese. In case of inconsistency, the English version controls, except where mandatory law provides otherwise.
